Terms of use

1. Who these terms bind

In these terms, “you” means the individual using PolicySense. If you use PolicySense for an organisation, you confirm that you are authorised to accept these terms and use the service for that organisation. If you do not have that authority, you must not submit organisational content or act on the organisation's behalf.

PolicySense is presently offered for use by Australian organisations unless we agree otherwise in writing. Mandatory rights or laws that apply to you are not displaced by these terms.

2. What PolicySense does

PolicySense helps organisations prepare, review, approve, publish and understand their policies. It presents controlled review and approval state, source context and records of important actions.

PolicySense may provide plain-English explanations, generated material and recommendations for human review. The approved policy and its authoritative sources remain controlling. PolicySense does not provide legal, financial, medical or other professional advice, guarantee compliance, or make a decision that only an authorised person may make.

3. Your organisation remains in control

Your organisation decides who may read, draft, approve and publish its policies. Users must act only within the authority given to them and follow their organisation's procedures. A control, recommendation or approval record in PolicySense does not create authority or, by itself, determine legal validity outside PolicySense.

4. Accounts and access

• Provide accurate account information and keep it current.
• Keep sign-in details secure and do not share an account.
• Tell us promptly if you suspect unauthorised access.
• Use only organisations, records and functions you are authorised to access.

Your organisation may change or remove your access. We may restrict access when reasonably necessary to protect the service, its users or organisational data.

5. Acceptable use

Do not use PolicySense to break the law, harm another person, probe or bypass security, access another organisation's information, distribute malicious code, overload the service, or misrepresent generated material as an approved organisational policy.

6. Your content and generated material

You and your organisation retain responsibility for content submitted to PolicySense. You give us permission to host, process, reproduce and transmit that content only as needed to provide, secure and support the service and comply with lawful obligations. You must have the right to provide the content you submit.

As between you and us, your organisation may use and export generated explanations or other output produced from its content. Generated material may not be unique and may be incomplete or wrong. It must be checked against the approved policy, authoritative sources and applicable professional judgment before use. These terms do not transfer third-party intellectual-property rights.

7. Our service and intellectual property

We and our licensors retain rights in PolicySense, ZAK, the software, service design and materials we provide, excluding your organisation's content. We give you a limited, non-exclusive and non-transferable right to use PolicySense while you have authorised access and comply with these terms.

8. Service changes and availability

We work to keep PolicySense available and reliable, but no online service is uninterrupted. Features may change as the product develops. Where practical, we will provide reasonable notice of a material change that affects normal use or data access.

9. Watched sources and third-party services

PolicySense monitors only sources that are selected, subscribed to or configured for monitoring. It does not promise complete monitoring of every law, standard, funder requirement or change that may affect your organisation.

Optional connections, including Google services, and other third-party services are also governed by their providers' terms and privacy practices. Disconnecting or losing access to a provider may prevent related features from working.

10. Fees

Fees, taxes, billing periods, trial or controlled-release terms and payment arrangements are set out in the applicable organisation agreement or order. If there is no paid agreement, we may end free access on reasonable notice, subject to the export and retention terms below.

11. Ending access, export and retention

You may stop using PolicySense at any time. Organisation administrators can manage membership and access. Customer documents remain the organisation's and are exportable on request, subject to the applicable organisation agreement, lawful retention requirements, another person's rights, security needs and preservation of an accountable approval and publication history.

After access ends, we may retain or delete information in accordance with the Privacy Policy, the organisation agreement and applicable law. We may suspend or restrict access where reasonably necessary to protect people, the service or organisational data, respond to unlawful use, or comply with law.

12. Responsibility and non-excludable rights

You remain responsible for decisions made using PolicySense and for checking explanations or generated material against the approved policy and authoritative sources. To the extent permitted by law, we are not responsible for loss caused by using generated material without that review, unauthorised use of an account, or a third-party service outside our reasonable control.

Nothing in these terms excludes, restricts or modifies a guarantee, right or remedy that cannot lawfully be excluded, including applicable rights under the Australian Consumer Law. Where the law permits liability for failure to comply with a consumer guarantee relating to services to be limited, our liability is limited, at our option, to supplying the services again or paying the reasonable cost of having them supplied again. Any additional liability allocation in a written organisation agreement applies to the extent permitted by law.

13. Changes to these terms

We may update these terms. We will publish the new effective date here and use a reasonable notice method for material changes. Continuing to use PolicySense after an update means the updated terms apply, subject to any rights that cannot be excluded.

14. Notices and disputes

Formal notices to us may be sent to support@zakgov.com and should identify the sender, organisation and subject. A notice may also be posted to Harmonic Futures Pty Ltd at 33 Elizabeth Street, Mundubbera Queensland 4626, Australia. We may give notices through the service, the account email address or an organisation contact.

Before starting court proceedings, each party should give written details of the dispute and try in good faith to resolve it for at least 30 days. This does not prevent urgent interlocutory relief, debt recovery or action needed to preserve a legal right.

15. Governing law and contact

These terms are governed by the laws of Queensland, Australia. You and we submit to the non-exclusive jurisdiction of the courts of Queensland and courts entitled to hear appeals from them, subject to any mandatory law that applies.
